Important digital-content notice
Most Softkrtl products are supplied immediately. The 14-day cancellation right applies from the outset. It ends early only where you expressly request immediate supply, acknowledge that beginning supply will end that right, and supply then begins. Statutory remedies for faulty, misdescribed, unfit or undelivered digital content are unaffected.
1. About these terms
These terms apply to purchases made through softkrtl.com. By placing an order, you agree to the version made available at checkout.
Nothing in these terms excludes or limits any right or remedy that cannot legally be excluded or limited.
A consumer is an individual buying wholly or mainly outside their trade, business, craft or profession. A business customer is anyone buying wholly or mainly for business or professional purposes.
2. Definitions
“Digital product” includes software, audio plug-ins, virtual instruments, DAWs, sound libraries, presets, updates, upgrade plans and other digitally supplied content.
“Licence key” includes a serial number, redemption code, activation code, publisher-account entitlement or other credential used to access a product.
“Publisher” means the developer, manufacturer or rights holder of a product. “EULA” means the publisher’s end-user licence agreement.
3. Who may order
You must be at least 18 years old and legally capable of entering into a contract.
You must provide accurate billing, contact, territory, publisher-account and eligibility information. We may refuse, hold or cancel an order where payment is not authorised, fraud is suspected, the product is unavailable, territorial or publisher restrictions apply, eligibility cannot be verified, or an obvious error has occurred.
If we cancel an order after payment, we will refund the amount paid for the cancelled item.
4. Product information and compatibility
We take reasonable care to describe products, editions, system requirements, supported formats, licence types, qualifying products and activation methods accurately.
Before ordering, check the operating system, processor, memory, host or DAW support, plug-in format, internet requirements, licence-manager requirements and any publisher account required.
Screenshots and images are illustrative. Publishers may update interfaces, installers and minor product details.
If our description, compatibility information or eligibility information was inaccurate, your statutory rights remain unaffected.
Where a publisher offers a trial or demonstration version, we may link to it. A trial is offered as an aid to your decision and is specific to a product and version; not every product has one. Trying a product, or choosing not to, does not change your cancellation rights or the process described in section 10.
5. Authorised products and publisher licences
All products sold by Softkrtl are genuine products obtained through authorised publisher or distributor relationships.
Your purchase grants a licence to use the software under the publisher’s EULA. It does not transfer ownership of the software or its intellectual property.
The EULA may govern permitted installations, devices, licence transfers, commercial use, updates, activation and prohibited sharing. These terms govern the sale by Softkrtl; the EULA governs use of the software.
Publisher names, product names, logos and trademarks remain the property of their owners. Their appearance does not mean a publisher owns or operates Softkrtl.
6. Prices, VAT and promotions
Prices shown to UK consumers include VAT where applicable. The total amount payable and any tax collected by Softkrtl are shown before the order is placed.
For customers outside the UK, local tax may be included, calculated at checkout or otherwise payable by the customer, depending on location and applicable law.
Prices and availability may vary by territory. Mandatory charges will not be hidden or added after the headline price.
Discounts, end dates and countdowns will reflect genuine promotional terms. Optional paid extras will not be preselected.
7. Ordering and contract formation
Products displayed on the website are invitations to place an order. Your order is an offer to purchase the selected product.
Immediately before payment, the website will show the main product details, licence type, total price and other material information and will give you a reasonable opportunity to correct errors.
The final order button will make clear that placing the order creates an obligation to pay. The contract is formed when we accept the order and issue an order confirmation or begin authorised fulfilment.
Please check the product, edition, licence type, qualifying licence, territory, email address and any publisher-account details before payment.
Where an order covers more than one licence, we may accept part of it. If we can supply some of the licences but not all, the contract is formed only for the licences we supply.
8. Payment
Payments are processed through Stripe Checkout using the payment methods displayed at checkout. Stripe’s separate terms and privacy information may apply to its processing.
You confirm that you are authorised to use the selected payment method and that the information supplied is accurate.
We may delay delivery while payment, fraud or security checks are completed. Softkrtl does not normally store complete payment-card details on its own systems.
At checkout we authorise the order total on your payment method. An authorisation is a hold, not a payment: your bank reserves the amount and it stays in your account. We then take payment only for the licences we supply, and the rest of the authorisation is released. You are not charged for a licence we have not supplied.
9. Digital delivery
Products are delivered electronically, in most cases instantly after successful payment unless otherwise stated.
Delivery may be by email, Softkrtl account, licence key, download or redemption link, publisher-account registration or another method described before purchase.
Some products require manual fulfilment, security checks, publisher action or eligibility verification and may not be immediate.
You are responsible for supplying a correct email address, checking spam folders, protecting your account and retaining licence details. Contact support@softkrtl.com if delivery does not arrive as expected.
10. Fourteen-day cancellation period and immediate supply
A UK consumer normally has 14 days from formation of a distance contract to cancel without giving a reason. That right applies to digital content from the outset. It does not fail to arise because a product is downloadable, because an activation cannot be undone, because a licence key cannot be returned to authorised stock, or because a trial version was available. It ends early only through the process described in this section.
Before immediate supply begins, we ask you to expressly request and consent to supply during the cancellation period and to acknowledge that beginning supply will end your right to cancel for a change of mind. This is a single control, presented separately from marketing choices, and it is not preselected.
Supply may begin when a licence key, download link, redemption link, account entitlement or other usable means of access is made available to you. The right to cancel for a change of mind ends when supply actually begins, and only after a valid express request and acknowledgement have been given.
We confirm your immediate-supply request and acknowledgement in the order-confirmation email or another durable format that you can retain. The confirmation sets out the statement you accepted in full, together with the version of the legal pack it was taken from, so that it can be read without relying on this website.
If you do not give the required express request and acknowledgement, we will not begin instant supply. Where we offer a delayed-supply option, supply will begin after the cancellation period unless you later give a valid request and acknowledgement. If the required request, acknowledgement or durable confirmation was not properly obtained, your cancellation right is not ended by supply, and you may not have to pay for digital content supplied during the cancellation period.
If supply has not begun, you may cancel by emailing support@softkrtl.com with your order number. This section does not affect rights where the product is faulty, not as described, unfit for an agreed purpose or not supplied.
11. Faulty, incorrect or undelivered digital content
Digital content supplied to a UK consumer must be of satisfactory quality, fit for a particular purpose made known to Softkrtl and as described.
If a key is invalid, already used before delivery, the wrong product is supplied, delivery fails, or the product materially does not conform to the contract, contact us promptly and provide the order number and reasonable evidence.
The usual first remedies for non-conforming digital content are repair or replacement. These must be provided within a reasonable time, without significant inconvenience and without cost to you.
Where repair or replacement is impossible, is not completed within a reasonable time, or would cause significant inconvenience, you may be entitled to an appropriate price reduction, potentially up to a full refund. A refund is not automatically the first remedy for every digital-content fault.
Referring you to publisher support for diagnosis or activation assistance does not remove any responsibility Softkrtl has as the retailer.
12. Incorrect selections and duplicate orders
Contact us immediately if you select the wrong edition, platform, licence type or publisher account. We may be able to cancel or exchange where supply has not begun and the key has not been revealed, registered or redeemed.
If the same order is placed more than once, we will normally cancel and refund an unused duplicate where the duplicate product has not been supplied.
These discretionary arrangements do not limit statutory rights where Softkrtl provided inaccurate or misleading information.
13. Upgrades, updates and crossgrades
You may purchase an upgrade, update or crossgrade only if you meet the publisher’s eligibility rules.
You confirm that you own a valid qualifying licence and can provide reasonable evidence such as a serial number, invoice, registered-account screenshot or registration record.
We may withhold delivery while eligibility is verified. If you are not eligible, we may cancel and refund the order rather than supply an unusable licence.
Do not purchase an upgrade in expectation of acquiring the qualifying licence later unless the product page expressly permits this.
14. Educational licences
Educational licences are limited to customers who meet the publisher’s current education criteria.
You may need to provide an institution email address, student or staff identification, enrolment evidence or another document. The publisher may make the final eligibility decision.
Education licences may have restrictions on transfer, resale, commercial use or future upgrades under the EULA.
15. Subscriptions and update plans
Softkrtl does not currently offer automatically renewing subscriptions.
A product that includes updates for a stated period, such as a 12-month upgrade plan, is a one-off purchase unless the product page and checkout expressly state otherwise.
No further payment is taken automatically. A separate purchase may be needed to extend the update period. The underlying software licence may remain usable after the period ends, subject to the publisher’s terms.
16. Licence-key and account security
Keep licence keys, codes, links and publisher-account details secure. Do not publish, share or resell them unless the publisher expressly permits an authorised transfer.
We will investigate a key that was invalid or already used before delivery. We may be unable to replace a valid key that was disclosed or used after it was delivered to your email address or account.
17. Publisher accounts, licence managers and support
Some products require a publisher account, internet connection, hardware key or licence manager. Known requirements are displayed on the product page.
You are responsible for maintaining any required third-party account and for entering the correct publisher-account details.
Softkrtl provides reasonable pre-sale, order and activation support. Detailed installation or product support may be provided by the publisher without affecting your rights against Softkrtl.
18. Discontinued products and continued access
Download and securely retain installers, licence keys and purchase confirmations after delivery where permitted by the EULA.
Publishers may update, replace or discontinue software, accounts or download services. We do not guarantee indefinite access to every historic installer, but this does not affect any continuing access promised as part of the contract or your statutory rights.
19. Territories and availability
Softkrtl supplies digital products worldwide where legally and contractually permitted. Products, editions, prices and licence types may be restricted by publisher, distributor, payment, sanctions, tax or territorial requirements.
If we cannot supply an accepted order through the appropriate authorised channel, we will cancel the affected item and refund the amount paid.
20. Promotions and optional extras
Promotions are subject to any terms displayed with the offer and may be limited by product, brand, licence type, territory, eligibility, time or availability.
Optional paid products or services will require your express choice and will not be added using pre-ticked boxes or default selections.
Softkrtl Rewards, our loyalty discount programme, is governed by the Softkrtl Rewards Terms published on our website. For any order that earns or uses rewards, those terms form part of these terms, and on any matter concerning rewards they take precedence over this section.
21. Prohibited activity
You must not use stolen payment details; share or resell keys without permission; circumvent eligibility, territory or security restrictions; attempt to obtain more licences than you purchased; interfere with the website; or use Softkrtl unlawfully or fraudulently.
We may hold fulfilment, suspend an account or cancel an order while suspected misuse is investigated.
22. Our responsibility to consumers
We are responsible for loss that is a foreseeable result of our breach of these terms or failure to use reasonable care and skill.
We are not responsible for unforeseeable loss, inaccurate information supplied by you, or incompatibility caused solely by failure to meet system requirements that were clearly and accurately stated before purchase.
Nothing excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, breach of statutory consumer rights or anything else that cannot legally be excluded.
23. Business customers
If you purchase wholly or mainly for business purposes, you confirm that you have authority to bind the relevant business.
To the maximum extent permitted by law, we are not liable to a business customer for loss of profit, revenue, business opportunity, anticipated saving, goodwill or indirect loss, and our total liability relating to an order will not exceed the amount paid for the affected order.
These restrictions do not apply to liability that cannot legally be limited or excluded.
24. Events outside our control
We are not responsible for delay caused by circumstances outside our reasonable control, including publisher-system outages, payment-network failures, internet or hosting failures, cyber incidents, industrial action, natural disasters or government restrictions.
We will take reasonable steps to reduce the effect of a delay. If supply becomes impossible, we will cancel and refund the affected item.
25. Privacy
Our Privacy Policy and Cookie Policy explain how personal information and storage technologies are handled. We do not require you to consent to marketing as a condition of purchase.
26. Complaints and alternative dispute resolution
Send complaints to support@softkrtl.com or write to SOFTKRTL LIMITED, 128 City Road, London, EC1V 2NX, United Kingdom. Include your name, order number, product, issue and requested outcome.
Softkrtl does not currently subscribe to an alternative dispute resolution scheme. Where our internal process is complete and a consumer complaint remains unresolved, we will provide legally required information about an appropriate certified ADR provider and state whether we are willing or required to participate.
27. Governing law and courts
These terms are governed by the laws of England and Wales. Consumers retain any mandatory protection available where they live and may bring proceedings in the courts available to them under applicable consumer law.
Business customers agree to the exclusive jurisdiction of the courts of England and Wales, unless agreed otherwise in writing.
28. General
If a provision is unlawful or unenforceable, the remaining provisions continue to apply. Delay in enforcing a right does not waive it.
We may transfer our rights and obligations to another organisation provided this does not reduce your legal rights. You may not transfer an order or licence except through a permitted publisher transfer process.
The version applying to an order is normally the version presented when the order was placed.
